Offer + Close

We give you a Letter of Offer which has the terms and structure. It's typically a majority cash payment upfront and six-month escrow.

Transition

A 90-day handover period to ensure a smooth transfer of trust and integration of your team.

What are the minimum revenue thresholds for a deal?

Annual revenue exceeding $500k AUD and $300k in recurring revenue (ARR).

How do you structure the payment?

Majority cash payment upfront and a six-month escrow, though this may change depending on customer concentration and other variables.

How long does the acquisition process take?

Every deal we’ve done has closed within 90 days (normally faster).

Do I need to stay in the business after the sale?

Yes, we like to have the director or founder involved for 90 days to introduce key customers and support the team.

What happens to my customers’ hosting and support?

We will either keep it in place or migrate it to our own service to ensure performance and security.

Do you buy agencies outside of Australia?

Australian East Coast and West Coast of the USA or Canada.

Will you buy my agency if I rely mostly on project work?

We love project work, but it's hard to build a business around. We are looking for recurring revenue and stable customers that allow us to pay upfront.

What happens to my agency's brand name?

We like to maintain brands to keep customer trust rather than absorbing everything into Wolf IQ.

What happens to my staff?

We operate with a "One Team" philosophy and aim to retain talented developers and support staff, integrating them into our shared resource pool to support the wider group
